Legal
Terms of Service
1. Agreement and eligibility
These Terms govern your use of YAATZ, operated by Zanja, LLC ("we," "us," "YAATZ"). By creating an account or using the service, you agree to them.
Business use only. YAATZ is a commercial product offered solely for business and professional use. By using it you confirm you are acting in a business capacity and not as a consumer.
You must be at least 18 years old. If you are using YAATZ on behalf of a business, you confirm you are authorized to enter this agreement on its behalf.
Changes to these Terms. We may update these Terms, including the data rights in §8. We will notify you by email to the address on your account. If you do not agree to a change, your remedy is to cancel before your next renewal. Continuing to use the service, or allowing your subscription to renew, confirms your acceptance of the updated Terms.
2. The service
YAATZ is a subscription software service. It provides an interface for working with multiple AI models in parallel, along with document storage, scripts, and related tools.
Not advice. YAATZ does not provide legal, financial, tax, medical, or professional advice of any kind. AI-generated output is not advice and is not a substitute for a qualified professional. Output may be inaccurate, incomplete, or wrong. You are responsible for verifying anything you rely on and for every decision you make using the service.
Changes. We may change, add, or remove features. We may change or replace the AI providers and models behind the service at any time. No particular provider or model is guaranteed. We will continue to provide the core functionality of the plan you purchased for the period you have paid for.
3. Accounts
You are responsible for your account credentials and for everything done under your account. Accounts are for a single operator. Do not share your login. If you want to share work with another person, you may send copies of documents to their own YAATZ account using the sharing features in the service; they access those copies with their own credentials.
Notify us promptly if you believe your account has been accessed without your permission.
4. Acceptable use and your rights in what you upload
Your representation. By accepting these Terms you certify that, for all content you put into YAATZ, you hold every right and permission necessary for all uses these Terms authorize — including uploading it, our processing and transmission of it, and the analysis and development rights in §8. This is broader than a right to upload. If you do not hold those rights for a particular document, do not put it into the service.
Prohibited uses. You may not use YAATZ to:
- break the law, or plan, assist, or facilitate criminal activity
- create, process, or store pornographic or sexually explicit material, or any material that sexualizes a minor
- infringe anyone's intellectual property or privacy rights
- upload material you do not have the rights described above for
- attempt to gain unauthorized access to the service or another account
- interfere with, overload, or disrupt the service or its infrastructure
- resell, sublicense, or provide the service to third parties as your own
- circumvent usage metering, allowances, or access controls
Provider policies. YAATZ operates on top of third-party AI providers. You may not use YAATZ in a way that causes you or us to violate an applicable provider's terms or acceptable use policies. We may impose restrictions reasonably necessary to maintain our access to those providers.
Immediate suspension. Conduct that endangers our provider accounts can cost us the infrastructure every customer depends on. Where we reasonably believe your activity creates that risk, or violates this section, we may suspend or close your account immediately and without prior notice.
If we do:
- We will explain the reason to you afterward.
- You may request an internal review within 7 days of that explanation. If you do not, our internal review process is closed. This does not affect any legal right you may have, and §18 continues to apply.
- If we close your account under this section, we refund the unused portion of your current billing month. Purchased credits are not refunded.
- If the review finds in your favour, we will restore your account, restore any allowance and purchased credits that were forfeited, and correct the billing consequences.
5. Subscriptions and payment
Subscriptions are billed monthly in advance through Stripe. Prices are shown at checkout and on our pricing page. Applicable sales tax is added at checkout.
Renewal. Your subscription renews automatically each month on your billing date until you cancel.
Failed payment. If a payment fails, access is suspended until payment succeeds. Stripe may automatically retry a failed card for several days. Suspended days are not credited, extended, or refunded — your subscription runs on its billing dates, not on days used. Keeping your payment method current is your responsibility.
Access during suspension. While suspended for non-payment, you can still reach the billing page to update your payment method and restore access. You cannot use the rest of the service.
Upgrades. If you upgrade mid-cycle, Stripe charges a prorated amount for the remainder of the cycle. If your new plan includes a monthly allowance, that allowance is granted in full immediately, and any unused allowance from your previous plan remains available until your next renewal.
Downgrades. Downgrades take effect at your next billing date. You keep your current plan and its allowance for the cycle you have already paid for.
No refunds. Subscription fees and credit purchases are non-refundable except where required by law or where these Terms expressly provide otherwise (§4).
6. Usage allowance and purchased credits
Managed plans include a monthly usage allowance, measured in YAATZ usage units. The allowance for each plan is published on our pricing page.
Plans on which you supply your own AI provider credentials do not include a YAATZ usage allowance. Usage on those plans is billed to you directly by your provider under your own agreement with them. The rest of this section applies to plans that include an allowance.
How usage is measured. Usage is measured using published YAATZ usage rates, which are applied at the time of use. Different AI models consume usage at different rates, and the models behind the service may change as described in §2.
We may change usage rates for any reason, including but not limited to changes in AI provider pricing, terms, or availability; changes to the models or providers behind the service; changes in service functionality, features, or plans; operational, security, or capacity requirements; and changes in law or provider policy. We publish current rates and will give notice before a change that materially increases the rate for existing plans.
The price of your subscription does not change during a period you have already paid for.
Allowance resets. Your monthly allowance resets on each billing date. Unused allowance does not carry forward and has no cash value.
Purchased credits. You may purchase additional usage credits. Purchased credits remain available for the remainder of the billing cycle in which they are purchased, plus three full billing cycles after that. They then expire.
Purchased credits can be spent only on plans that include a usage allowance. If you move to a plan without one, any credits you hold continue to expire on their original schedule.
Spending order. Your monthly allowance is used first. Purchased credits are used only after the allowance for that cycle is exhausted.
Reaching your limit. When your allowance and credits are exhausted, AI calls pause. Nothing else stops — your documents, scripts, and work remain available, and your allowance resumes on your next billing date.
Credits have no cash value, are not transferable, and are not redeemable for money.
7. Cancellation, closure, and your data
Cancellation. You may cancel at any time. Cancellation takes effect at the end of the billing period you have already paid for. Until that date, nothing changes: your access, your allowance, and your purchased credits all remain available.
On the closure date. Your account closes. Any unused allowance and any unused purchased credits expire with no refund and no cash value. You will no longer be able to access the service.
Your content after closure. We retain the content in your account for twelve months from the closure date. If you sign back in to the same account within that window and start a new subscription, your content will be there.
Export before you go. You can export your documents while your account is active. We recommend doing so before your access ends. We are not responsible for content you did not export.
Deletion on request. You may ask us to delete your account content at any time, and we will do so within a reasonable period. Deletion applies to the documents and files stored in your account. It does not extend to:
- records of your use of the service, including logs, timestamps, usage records, and cryptographic hashes of your content as stored by the service
- models, classifiers, datasets, and other artifacts already created under §8
- material we are required to retain by law or legal process, or that is relevant to an actual or anticipated claim, dispute, or investigation
- copies of documents or folders you sent to another YAATZ user, which belong to that user's account and are not removed when your account or your original copy is deleted
- copies held in backups, which are overwritten on their normal cycle
- payment and billing records, including the records our payment processor returns to us, which we retain to resolve billing questions and to meet tax and accounting requirements
We retain these records so that we can establish what occurred in your account if it is later disputed. They do not include the content of your deleted documents.
What deletion cannot reach. Two limits are worth stating plainly.
If you sent a document or folder to another YAATZ user, they received their own copy. That copy belongs to their account and is not affected by deletion of yours. Send material only to people you are content to leave it with.
Your content is also transmitted to the third-party AI providers described in §8. Those providers retain and delete material under their own terms and on their own schedules, which we do not control. Deleting content from YAATZ does not delete it from them.
8. Your content, AI output, and how we may use them
You own your content. Documents, notes, scripts, and other material you put into YAATZ remain yours. We claim no ownership of it.
What is not content. Provider API credentials, passwords, payment credentials, and other authentication secrets are not content for the purposes of this section. The licence and the analysis and development rights below do not apply to them. They are governed only by §10, §17, and our Privacy Policy.
You own the output. As between you and us, AI output generated for you belongs to you. To the extent we hold any rights in it, we assign them to you.
Be aware that AI output may not be unique, may closely resemble output provided to others, and may not be eligible for copyright protection. We make no representation that output is original or protectable.
Third-party AI providers. To deliver the service, your content is transmitted to third-party AI providers. On managed plans we contract with those providers; on plans where you supply your own credentials, your own agreement with the provider governs your relationship with them. In either case those providers operate under their own terms and privacy policies, which we do not control.
You decide what to upload. You are responsible for what you put into the service. You should understand the policies of the AI providers your content will reach, and use your own judgment about uploading confidential, regulated, or otherwise sensitive material. If you are unsure, use general or redacted examples rather than sensitive originals.
Our license. You grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, transmit, back up, process, display, analyze, and create derivative works from your content and output, for the purposes described in these Terms.
Analysis and development. We may use your content, your output, and your use of the service to understand how YAATZ is used, how different kinds of businesses operate within it, and to develop and improve YAATZ and other products and services.
This expressly includes:
- analyzing content and usage patterns
- building classifiers, evaluation systems, retrieval systems, and routing systems
- creating derived and aggregated datasets
- fine-tuning models
- training models on customer content
This right applies on every plan. It is not subject to opt-out, and supplying your own provider credentials does not exempt you from it.
What we will not do. We will disclose your Confidential Information only as permitted by §9, which is the authoritative rule on disclosure. We will not identify you as the source of anything we learn. We will not deliberately publish or distribute your proprietary material, and we will take reasonable measures to avoid its reproduction. Anything we deliberately share or publish based on what we learn will be aggregated or de-identified so that it does not identify you or expose your Confidential Information.
Feedback. If you send us suggestions, feature ideas, or feedback, we may use them without restriction or obligation to you. Feedback does not include your content or your Confidential Information.
Legal requests. We may disclose content where required by law, valid legal process, or to protect the rights and safety of others.
9. Confidentiality
Confidential Information means non-public information you submit to or through YAATZ, or send to us in the course of using or supporting the service, that a reasonable business would treat as confidential — including business plans, financial information, customer and supplier information, pricing, contracts, and trade secrets — together with identifiable information derived from it. It remains Confidential Information regardless of whether it is still stored in your account.
It does not include information that is or becomes public through no fault of ours, that we held before you provided it, that we receive from a third party without a duty of confidence, or that we develop independently without use of your Confidential Information.
We will protect your Confidential Information with at least reasonable care. We will not disclose it except to our employees, contractors, and service providers who need it to operate the service or to carry out the uses permitted by §8, and who are bound by confidentiality obligations at least as protective as these, or where disclosure is legally required.
The rights in §8 operate within these limits as to disclosure and identification. Nothing in §8 permits us to disclose your Confidential Information to the public or to identify you as its source.
10. Customer-supplied provider credentials
If your plan allows you to supply your own AI provider API keys:
- You authorize us to store and validate your credential, and to use it to authenticate provider requests initiated through YAATZ.
- All charges incurred on your credential are between you and that provider. We do not pay them and cannot refund them.
- Your provider's quotas, billing status, and model access are outside our control. Requests may fail for reasons on their side.
- We will not fall back to our own credentials if yours fails.
- Removing a credential prevents new requests from using it, effective on the next request.
- Any cost figures we display for provider usage are estimates, not invoices. Your provider's own billing is authoritative.
- Supplying your own credential does not remove YAATZ from the data path. Your content still passes through our service, and Sections 8 and 9 apply in full, including the analysis and development rights.
11. Our intellectual property
YAATZ, including its software, interface, methodology, documentation, scripts we supply, and branding, is owned by Zanja, LLC. Your subscription grants you the right to use it, not to own it. You may not copy, modify, reverse engineer, or create derivative works from it.
Scripts and templates we supply as part of the service may be used for your own business purposes. They may not be redistributed or resold.
12. Copyright complaints
If you believe material in the service infringes your copyright, send a notice to support@mail.yaatz.ai with enough detail to identify the work, the material, and your contact information, along with a statement that you have a good-faith belief the use is unauthorized. We may remove material and close accounts of repeat infringers.
13. Availability and events outside our control
We aim to keep YAATZ available and working, but we do not guarantee uninterrupted or error-free service. The service depends on third-party AI providers and infrastructure that we do not control, and those providers can be slow, unavailable, or change without notice.
We may perform maintenance, and may need to do so without advance notice.
Events outside our control. We are not liable for any failure or delay caused by events beyond our reasonable control, including provider outages, infrastructure or network failures, denial-of-service attacks, natural disaster, fire, flood, war, civil disturbance, labour action, epidemic, or government action.
14. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.
We do not warrant that AI-generated output will be accurate, complete, reliable, or suitable for any purpose. We do not warrant that the service will meet your requirements or that defects will be corrected.
15. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE FIRST SUCH CLAIM.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.
Business decisions. We are not liable for business outcomes, strategic or operational decisions, lost opportunities, or losses of any kind arising from your reliance on AI-generated output. YAATZ is a tool for thinking, not a decision-maker, and the decisions remain yours.
These limits apply regardless of the theory of liability and survive termination.
16. Indemnification
You will indemnify and hold harmless Zanja, LLC and its officers and agents from any third-party claim, loss, or expense (including reasonable legal fees) arising from:
- your content, including any claim that you lacked the rights represented in §4
- your violation of these Terms
- your violation of applicable law or of a third party's rights
- your misuse of the service
This does not apply to the extent a claim arises from our own breach of these Terms or our negligence.
17. Security
We maintain reasonable administrative, technical, and organizational safeguards appropriate to the nature of the service. No system is completely secure, and we do not guarantee that unauthorized access will never occur.
18. Governing law and disputes
These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law rules.
Informal resolution first. Before either of us files anything, the party raising the dispute will send the other written notice describing it and what they want. Both parties will then work in good faith to resolve it for 30 days. Neither party may file suit until that period has passed. Any applicable limitation period is tolled while this process runs, to the extent permitted by law, so neither party loses rights by participating in it.
Emergency relief. Either party may seek a temporary restraining order, preliminary injunction, or other emergency equitable relief at any time, without waiting for the 30-day period to run, where necessary to prevent imminent harm.
Courts. If the dispute is not resolved, it will be brought exclusively in the state courts located in Utah County, Utah, or in the United States District Court for the District of Utah, and both parties consent to the jurisdiction of those courts.
No arbitration. Disputes under these Terms are resolved in court. This is a deliberate choice.
19. General
Entire agreement. These Terms, together with our Privacy Policy and the plan and pricing terms presented at checkout, are the entire agreement between you and us regarding the service. If they conflict, these Terms control except as to price and plan details, where the terms presented at checkout control.
Notices. We may give you notice by email to the address on your account or by posting in the service. You may give us notice at support@mail.yaatz.ai.
Severability. If any provision is found unenforceable, the rest remains in effect.
No waiver. Failure to enforce a provision is not a waiver of it.
Assignment. You may not assign this agreement without our consent. We may assign it in connection with a merger, acquisition, or sale of assets.
Survival. Sections 9, 11, 14, 15, 16, and 18 survive termination. Section 8 survives termination as to output, feedback, and any models, classifiers, datasets, and other artifacts already created before termination, together with the rights necessary to continue using them. The licence in §8 to host, store, and process your content itself ends when that content is deleted under §7.
